Terms of Service

Please read these terms carefully before using our services or website.

1. Acceptance of Terms

By accessing or using the services provided by Penta5 Solutions ("Company", "we", "us", or "our"), including our website penta5solutions.com and all related digital services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access our services.

2. Services Overview

Penta5 Solutions provides digital services including but not limited to:

  • Web Development (React, Next.js, custom applications)
  • Shopify & WordPress Development
  • AI Automation & Chatbot Development
  • Digital Marketing (SEO, PPC, Social Media)
  • UI/UX Design & Prototyping
  • Custom Software Development
  • Graphic Design & Branding
  • CopyWriting & AI Content Creation
  • Flutter App Development
  • 3D Architectural Rendering & Visualization

Service descriptions on our website are for informational purposes. Specific deliverables, timelines, and pricing are defined in individual project agreements.

3. Project Agreements

Each project begins with a mutual agreement (proposal, quote, or contract) that outlines:

  • Scope of work and deliverables
  • Project timeline and milestones
  • Payment schedule and total cost
  • Revision limits and additional charge policies
  • Ownership and intellectual property terms

In case of conflict between these general terms and a specific project agreement, the project agreement takes precedence.

4. Payment Terms

  • Advance Payment: A minimum of 50% advance payment is required before work begins on any project.
  • Milestone Payments: For larger projects, payments are tied to agreed milestones.
  • Final Payment: Remaining balance is due upon project completion and before source code, files, or final deliverables are transferred.
  • Late Payments: Invoices unpaid after 15 days will incur a 2% monthly late fee.
  • Currency: All prices are in Pakistani Rupees (PKR) unless otherwise specified.

5. Client Responsibilities

Clients are responsible for:

  • Providing timely feedback, approvals, and content (text, images, branding materials) required for project progress.
  • Ensuring all provided content does not infringe on third-party copyrights or trademarks.
  • Designating a single point of contact for communication and decisions.
  • Reviewing deliverables within agreed review periods (default: 5 business days).

Delays in client responses may extend project timelines proportionally.

6. Intellectual Property

  • Client Ownership: Upon full payment, the client receives full ownership of all custom deliverables created specifically for their project.
  • Third-Party Assets: Stock images, fonts, plugins, frameworks, and other third-party assets remain subject to their original licenses.
  • Portfolio Rights: Penta5 Solutions reserves the right to showcase completed projects in its portfolio and marketing materials, unless otherwise agreed in writing.
  • Pre-existing IP: Any tools, libraries, or code developed by Penta5 Solutions prior to or independent of the project remain our property.

7. Revisions & Changes

  • Each project includes a defined number of revision rounds (typically 2–3) as specified in the project agreement.
  • Additional revisions beyond the agreed scope will be billed at standard hourly rates.
  • Scope changes requested after project kickoff may affect timeline and budget, and will be documented via a change order.

8. Warranties & Guarantees

  • Quality Guarantee: We guarantee that all deliverables will meet the specifications outlined in the project agreement.
  • Bug-Free Delivery: Custom code is delivered free from known bugs at the time of delivery.
  • Post-Launch Support: A 30-day free support period is included for bug fixes after project handover (unless otherwise specified).
  • No Guarantee of Results: For marketing services, we do not guarantee specific rankings, traffic, or conversion results, as these depend on many external factors.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Penta5 Solutions shall not be liable for any indirect, incidental, special, or consequential damages.
  • Our total liability for any project shall not exceed the total amount paid by the client for that specific project.
  • We are not responsible for losses resulting from third-party services, hosting outages, domain issues, or client-side modifications.

10. Termination

  • By Client: Clients may terminate a project with 7 days written notice. Payment is due for all work completed up to the termination date.
  • By Penta5 Solutions: We may terminate a project if the client breaches these terms, fails to make payments, or is unresponsive for more than 30 days.
  • Non-Refundable: Advance payments and completed milestone payments are non-refundable upon termination (see Refund Policy).

11. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of a project. This includes business strategies, technical specifications, login credentials, and any materials marked as confidential.

12. Force Majeure

Neither party shall be liable for delays or failure to perform due to circumstances beyond reasonable control, including natural disasters, government actions, pandemics, internet outages, or other force majeure events.

13. Dispute Resolution

Any disputes arising from these terms shall be resolved through:

  • Good-faith negotiation between the parties.
  • Mediation if negotiation fails.
  • Arbitration under the laws of Pakistan, with proceedings in Faisalabad.

14. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Pakistan. Any legal proceedings shall be conducted in the courts of Faisalabad, Punjab, Pakistan.

15. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on this page. Your continued use of our services after changes constitutes acceptance of the updated terms.
